About the Proprietors of Pokapu Incorporation

Overview

Proprietors of Pokapu Incorporation is a Māori incorporation constituted under Te Ture Whenua Maori Act 1993 and governed by a constitution approved by shareholders on 11 October 2025.

The whenua is worked as a farming business. Dairy is the Incorporation's principal source of income, alongside a forestry operation run through contractors and a set of development ventures — dry stock, biofuel and mānuka honey. The purpose of that business is straightforward: to generate a return for shareholders while keeping the whenua in the hands of its owners and in better condition than we received it.

The Incorporation is governed by a committee of management of seven members, elected by shareholders at the Annual General Meeting. In October 2025 shareholders adopted a new constitution that rewrote the rules of governance in plain English, tightened financial and land-disposal controls, and expanded shareholders' rights to see the documents that matter. That work was a deliberate response to a period in which the Committee was not sufficiently accountable to the people it serves. Accountability, transparency and access are now constitutional obligations, not goodwill.

2025 Constitutional Review

In 2025 shareholders undertook a full review of how this Incorporation is governed, and on 11 October 2025 adopted a new constitution.

The review did not come out of nowhere. The constitution records, in its own text, that the Committee had not been sufficiently accountable to shareholders, and that this caused hara — real harm — along with disempowerment and disengagement among the owners of this whenua.

It also records why: committee members had not always understood how their common law and equitable duties interacted with the constitution, and the governing documents themselves were written in language that made it difficult for anyone to work out what the rules actually were.

The response was to rewrite the constitution in plain English, and to put in place controls that do not depend on goodwill. Borrowing above $400,000 now requires a special resolution of shareholders, every time. No interest in the land can be disposed of without shareholders authorising it. Committee members must disclose interests unrelated to the land in a separate register, which is emailed to shareholders at least annually.

Shareholders have an express right to the business plan, the annual budget and the financial statements on five business days' notice. And the Committee cannot put a constitutional change to a vote without first sitting down with shareholders in wānanga over the actual wording.

The purpose of all of it was to rebalance the ea between the shareholders, the Incorporation and its Committee — and to make sure that the rules governing this whenua can be read and used by any owner, whatever their background.
